Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the FractionalCTO.London website and services provided by Raul Tudor ("we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our website or services.

2. Services Description

FractionalCTO.London provides fractional Chief Technology Officer services, including but not limited to:

  • Strategic technology planning and roadmap development
  • Technical team leadership and mentoring
  • Technology architecture and infrastructure guidance
  • Software development process optimization
  • Technology vendor evaluation and selection
  • Digital transformation consulting

Services are provided on a part-time, fractional basis as agreed upon in individual service agreements.

3. Service Agreements

Specific services will be governed by separate written agreements ("Service Agreements") that will include detailed scope of work, deliverables, timelines, and compensation terms. These Terms of Service supplement but do not replace individual Service Agreements.

In case of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail for matters specifically addressed therein.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant reasonable access to systems, personnel, and information as required
  • Respond promptly to requests for feedback and approvals
  • Make timely payments according to agreed terms
  • Maintain confidentiality of proprietary methodologies and approaches
  • Use our services in compliance with applicable laws and regulations

5. Payment Terms

Payment terms will be specified in individual Service Agreements. Unless otherwise agreed:

  • Invoices are payable within 30 days of receipt
  • Late payments may incur interest charges at 1.5% per month
  • Services may be suspended for overdue accounts
  • All fees are exclusive of applicable taxes

6. Intellectual Property

6.1 Client IP

You retain ownership of all intellectual property that you provide to us or that exists prior to our engagement ("Client IP"). We will not use Client IP beyond what is necessary to provide services.

6.2 Service Provider IP

We retain ownership of our methodologies, frameworks, tools, and general knowledge developed independently of client engagements ("Service Provider IP").

6.3 Work Product

Ownership of specific deliverables and work product will be addressed in individual Service Agreements. Generally, customized deliverables created specifically for a client will be owned by the client, while general methodologies and approaches remain our property.

7. Confidentiality

Both parties acknowledge that they may have access to confidential information. We agree to:

  • Maintain strict confidentiality of all client information
  • Use confidential information solely for providing services
  • Implement appropriate security measures to protect confidential information
  • Return or destroy confidential information upon request or termination

Confidentiality obligations survive termination of our relationship and continue indefinitely.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the fees paid for services in the 12 months preceding the claim
  • We shall not be liable for indirect, consequential, or punitive damages
  • We provide services on an "as is" basis without warranties of any kind
  • We do not guarantee specific business outcomes or results

This limitation applies regardless of the theory of liability, whether in contract, tort, or otherwise.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of our services in violation of these Terms
  • Your violation of applicable laws or regulations
  • Infringement of third-party rights by your business operations
  • Your failure to implement our recommendations properly

10. Termination

Either party may terminate services with written notice as specified in the Service Agreement. Upon termination:

  • All outstanding fees become immediately due
  • Each party will return confidential information
  • Confidentiality and intellectual property provisions survive
  • We will provide reasonable transition assistance

11. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including but not limited to acts of God, government actions, pandemics, or technical failures.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Dispute Resolution

We encourage resolution of disputes through direct communication. If a dispute cannot be resolved informally, parties agree to attempt mediation before pursuing litigation.

14. Website Use

When using our website, you agree not to:

  • Use the website for unlawful purposes
  • Attempt to gain unauthorized access to our systems
  • Interfere with website functionality or security
  • Copy or reproduce website content without permission
  • Use automated systems to access the website excessively

15. Professional Standards

Our services are provided in accordance with professional standards and best practices in the technology industry. We maintain professional indemnity insurance and adhere to ethical business practices.

16. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with any applicable Service Agreements and Privacy Policy, constitute the entire agreement between the parties regarding the subject matter herein.
